Terms of Engagement

These terms set out how YBNA works with a client and where its role begins and ends, so that both sides know what to expect from the start. They apply equally to individual and institutional clients.

01

Contracting Entity

“YBNA” in these terms refers to YBNA LLC, a limited liability company registered in the State of Wyoming, United States. All engagements are concluded with, and all fees are paid to, YBNA LLC.

02

Nature of the Role

YBNA is an independent entity that examines high-impact decisions. Its role is to give an impartial professional opinion and to classify the state of the decision on the basis of the information made available to it. YBNA does not make executive decisions, take part in making them, or carry responsibility for what follows from them.

03

Scope of Work

YBNA works only on the one decision that has been clearly defined. The scope does not include execution or operations, managing teams or projects, preparing operational or detailed plans, or following up after delivery. Anything outside the agreed decision needs a separate written agreement.

04

Independence and Non-Conflict

YBNA keeps full independence in its analysis and its opinion. It is under no obligation to endorse a direction, validate a position, or defend a decision already taken. The client acknowledges that the value of the service rests on neutrality, distance, and impartiality.

05

Conflicts of Interest

YBNA does not examine the same decision, or the same transaction, for more than one party. YBNA does not accept an engagement concerning a decision it has previously examined for another party, nor an engagement in which YBNA or any person involved in preparing the opinion holds a financial or personal interest. Where a conflict becomes apparent after an engagement has begun, YBNA terminates the engagement and refunds the full fee. YBNA does not disclose the identity of the party whose prior engagement gave rise to the conflict.

06

Communication Style

All communication is in writing, in English, by official email, written memoranda, and supporting documents. YBNA does not hold meetings, calls, or live discussions of any kind.

07

Inputs and Responsibility

The client is responsible for providing information that is accurate and as complete as it reasonably can be. YBNA's analysis rests only on what it is given, and YBNA takes no responsibility for what is missing, inaccurate, or distorted in it. YBNA's services are not legal, financial, or regulatory advice, and do not replace specialised professional counsel.

08

Outputs

YBNA delivers a written professional opinion that includes a clear executive summary, focused analytical assessment, and classification of the decision's state. The opinion is delivered within ten working days of commencement, as a signed document issued in the name of YBNA, in English. If the opinion is not delivered within that period, the full fee is refunded.

No guarantee is given about future outcomes, the success of implementation, or how the decision performs.

09

Confidentiality and Intellectual Property

YBNA keeps all information and documents it receives confidential, as set out in its Client Privacy policy.

Upon delivery, the opinion becomes the property of the client, who may use, retain, and share it at its sole discretion. Where the client shares the opinion with any third party, it must be reproduced in full and without alteration; YBNA's name may not be associated with any excerpt, summary, or paraphrase of the opinion. YBNA retains no copy of the opinion after completion of the engagement unless the client requests otherwise in writing.

10

Termination

YBNA's obligation ends when the agreed outputs are delivered. There is no further obligation to follow up, support, clarify, or interpret.

YBNA may terminate an engagement at any stage where it conflicts with YBNA's Client Acceptance Policy or these terms, without obligation to state detailed reasons. In every case of termination by YBNA, the full fee is refunded to the client.

11

Governing Law and Disputes

These terms, and every engagement concluded under them, are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Any dispute arising from or relating to an engagement shall be finally resolved by confidential binding arbitration administered by the International Centre for Dispute Resolution under its International Arbitration Rules, seated in Cheyenne, Wyoming, conducted in English by a single arbitrator. Judgment on the award may be entered in any court having jurisdiction. The existence, content, and outcome of any arbitration are confidential.

12

Acceptance

These terms become binding upon the client's written acceptance of YBNA's scope and fee confirmation, which precedes payment. Submitting a request to YBNA does not by itself create an engagement. YBNA reserves the right to refuse or decline any request that does not align with its role, scope, or independence.
